Terms of Service

Effective April 4, 2026 — SaleAnimal, Inc.

1. Acceptance of Terms

By accessing or using SaleAnimal (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and SaleAnimal, Inc.

2. Description of Service

SaleAnimal is a real estate operating system that provides:

• Customer Relationship Management (CRM) for tracking contacts and pipeline.
• Power dialer and SMS communication tools.
• Prospecting tools including parcel mapping of 857,000+ NYC properties.
• Market intelligence including comparable sales analysis, property valuations, and seller intent signals.
• AI-assisted coaching and business strategy through SpiritAnimal.
• Property data sourced from public records including ownership, zoning, transaction history, and building characteristics.
• Team collaboration features including Sales Floor and community rooms.

3. Eligibility

You must be at least 18 years old to use SaleAnimal. The Platform is designed for licensed real estate professionals. By registering, you represent that you hold a valid real estate license in your state of practice or are otherwise authorized to engage in real estate activities.

4. Account Registration

To use the Platform, you must create an account by providing accurate and complete information, including your real estate license number. You are responsible for:

• Maintaining the accuracy of your account information.
• Safeguarding your login credentials.
• All activity that occurs under your account.

You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree to use SaleAnimal in compliance with all applicable laws and regulations. You shall not:

• Harass, threaten, or abuse property owners or any individuals contacted through the Platform.
• Misuse property owner contact information obtained through the Platform for purposes unrelated to legitimate real estate business.
• Violate the Telephone Consumer Protection Act (TCPA) or any applicable Do Not Call regulations.
• Make robocalls, send unsolicited bulk messages, or engage in spam.
• Scrape, crawl, or use automated means to extract data from the Platform.
• Reverse engineer, decompile, or attempt to derive the source code of the Platform.
• Share your account credentials or allow unauthorized access to the Platform.
• Use the Platform for any illegal or fraudulent purpose.

6. Property Data

Property data displayed on SaleAnimal is sourced from publicly available records including NYC Open Data, ACRIS, PLUTO, and other government databases. This data is provided as-is and:

• Is not guaranteed to be accurate, complete, or current.
• May contain errors, omissions, or outdated information.
• Should be independently verified before making any business decisions.
• Does not constitute a formal appraisal, title search, or legal opinion.

Market value estimates, seller intent scores, and comparable sales analyses are algorithmic calculations based on available data and should not be treated as guaranteed valuations.

7. AI Features

SaleAnimal includes AI-powered features, including SpiritAnimal coaching, market analysis, and content generation. You acknowledge that:

• AI-generated insights, recommendations, and content are for informational purposes only.
• AI outputs do not constitute legal, financial, tax, or investment advice.
• AI predictions and analyses are probabilistic and not guaranteed to be accurate.
• You are solely responsible for any decisions made based on AI-generated information.
• AI responses may occasionally contain errors or inaccuracies.

8. Intellectual Property

SaleAnimal, Inc. owns all rights, title, and interest in the Platform, including but not limited to:

• The SaleAnimal brand, logos, and trademarks.
• Proprietary scoring algorithms, including Seller Intent Score and market intelligence methodologies.
• Signal detection technology and property analysis systems.
• SpiritAnimal AI personality and coaching framework.
• All software, code, designs, and documentation.

You retain full ownership of your own data, including contacts, notes, CRM entries, and any content you create on the Platform. You grant SaleAnimal a limited license to use your data solely to provide and improve the Platform.

9. Payment Terms

SaleAnimal operates on a subscription basis. By subscribing, you agree to:

• Pay the fees associated with your selected plan.
• Provide accurate billing information.
• Automatic renewal of your subscription unless cancelled before the renewal date.

Subscription plans, pricing, and features are subject to change with reasonable notice. Refunds are handled in accordance with our refund policy available on the Platform.

10. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service.
• Engage in abusive or harassing behavior toward property owners or other users.
• Use the Platform for illegal purposes.
• Fail to pay subscription fees.

Upon termination, you may request export of your CRM data within 30 days. After that period, your data may be permanently deleted.

11. Limitation of Liability

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. To the maximum extent permitted by law:

• SaleAnimal, Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages.
• SaleAnimal, Inc. is not liable for any decisions made based on property data, market analyses, AI outputs, or any other information provided through the Platform.
• Our total liability shall not exceed the amount you paid for the Platform in the 12 months preceding the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.
